Agent Referral
Referral Inquiry Terms of Submission
1. Eligibility
You must hold a real estate license that is active and in good standing, and your submission of this inquiry must be permitted under the licensing and brokerage laws of the jurisdiction in which the property is located. Any compensation that may subsequently become payable is payable to your broker of record, in accordance with applicable law.
2. Nature of This Submission
This submission is an inquiry. It initiates a discussion regarding a potential collaboration on a property, in which Ashland Auction Group will serve as listing agent unless otherwise agreed in writing. Any referral relationship, and any compensation associated with it, is established solely by a signed Auction Listing Agreement and/or a separate written referral agreement. Compensation, if any, is negotiated directly between Ashland Auction Group and your broker of record, and is not offered, published, or advertised through any multiple listing service.
3. Properties Submitted
You may submit one property or multiple properties. Each property is evaluated independently and is subject to its own written agreement. Submission of a property does not extend to any other property of the same seller or to any future auction.
4. Duration
Ashland Auction Group will generally retain an inquiry as active for twelve months from the date of acknowledgment. Retention of an inquiry constitutes a record of your submission only. It does not create a referral relationship, establish priority, or obligate either party. Where a written agreement is executed with respect to a property, the terms of that agreement govern.
5. Prior Contact
Ashland Auction Group cannot treat a property or seller as newly referred where that property or seller was already present in its pipeline. Upon receipt of your inquiry, Ashland Auction Group will review its records as of the date and time of receipt, including customer relationship management entries, email and telephone logs, valuation and proposal requests, prior listings, and prior auction files. Where earlier contact is identified in either direction, Ashland Auction Group will advise you and identify the date and channel of that contact. You may submit additional information for consideration, which Ashland Auction Group will review in good faith. The determination of Ashland Auction Group, based upon its records, is final.
6. Compensation Contingent Upon Settlement
Compensation, if any, is earned only upon settlement of the property through Ashland Auction Group pursuant to a signed agreement.
7. Payment
Compensation varies by property and is established solely in a signed written agreement. No rate is quoted, published, or implied by this form. Payment is made to your broker of record at or following settlement. Ashland Auction Group may require a completed Form W-9 and payment instructions from your brokerage prior to payment.
8. Seller Contact Preference
You may indicate how you would prefer initial contact regarding this inquiry to be handled — directly with the seller, or through you first. Ashland Auction Group will make reasonable efforts to observe your stated preference. Where no preference is indicated, Ashland Auction Group will direct initial contact to you. Your preference addresses the routing of initial contact and does not restrict communication between Ashland Auction Group and the seller. Where the property is subject to an active listing agreement, please identify it so that Ashland Auction Group may respond appropriately. You may revise your preference in writing at any time.
9. No Obligation; Right to Decline
Submission of an inquiry does not constitute an offer or an acceptance of a referral by either party. Ashland Auction Group may decline any inquiry or property in its sole discretion. No obligation arises unless and until a written referral agreement and/or Auction Listing Agreement has been executed.
10. Your Representations
By submitting this inquiry you confirm that your license is active and in good standing; that submission does not conflict with any listing agreement, representation agreement, or brokerage policy to which you are subject; that you are authorized to disclose any seller information you provide and, where you have provided seller telephone or email contact information, that you have the seller's permission for Ashland Auction Group to use that information to contact the seller regarding this inquiry, consistent with applicable laws governing telephone, text, and electronic solicitation; and that the information you have provided is accurate.
11. Information You Enter
Ashland Auction Group retains information entered on this form, including information entered but not submitted, and may use it to contact you regarding your inquiry. Seller contact information is used in accordance with Section 8. Retention of information creates no obligation on either party and does not constitute acceptance of an inquiry.
12. Entire Understanding; No Verbal Modification
These terms, together with any written agreement subsequently executed, constitute the entire understanding of the parties with respect to this inquiry. No verbal statement modifies them. Modifications must be made in writing by an authorized representative of Ashland Auction Group.
13. Governing Law and Venue
These terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. Any dispute arising from or relating to this inquiry shall be brought in the state courts located in Baltimore County, Maryland, and each party consents to that venue.
